A shared target needs a shared operating agreement
A sales partner can research and sell, but cannot independently change your product, approve every legal term or fulfill customer implementation. Those dependencies need named client owners and realistic availability. Otherwise an opportunity can appear stalled by the seller when the actual barrier is an unresolved internal decision.
Write an escalation path that protects the buyer from false promises. A missed response should produce a truthful update and revised plan, not fabricated readiness. Keep contractual consequences separate from operational best practice: only the approved agreement determines how a particular responsibility affects guarantee eligibility or remedies.

Work through the decision
Illustrative deal: a buyer asks for a security response before allowing a technical evaluation. The agency records the request, deadline and client expert. If the expert cannot respond, the team tells the buyer and updates the mutual plan. Counting that evaluation as ready for signature would obscure the dependency.
Use this operating record in reviews to distinguish effort, evidence and constraints. Before commitment, discuss how repeated unresolved dependencies are handled in the agreement. Do not invent an automatic guarantee exclusion from a general article.
Collaboration is assumed instead of staffed
A founder may intend to help while having no calendar capacity for technical or commercial approvals. Identify alternates and expected availability before delivery starts. A target with unstaffed critical dependencies is not a complete plan.
A concrete next step
Create a dependency list using one normal deal. Ask the proposed partner to mark every client decision required and confirm the owners' capacity before finalizing scope.
